Terms and Conditions of Service
Welcome to Metal Pilot. Your access and use of our services are subject to the following Terms and Conditions. By using the services, you confirm you have read, understood, and agree to be bound by them.

In this document, "Metal Pilot", "we", "us", "our", and "the Company" refer to Wojciech Rzepka Software, and "the Service" refers to the Metal Pilot platform, website, and related services. The email address contact@metalpilot.com serves as our single electronic point of contact for users and for communication with authorities.
2. User Accounts
You must provide accurate information during the registration process.
You are responsible for maintaining the confidentiality of your account credentials.
Your login may only be used by one person—a single login shared by multiple people is not permitted.
You agree to notify us immediately of any unauthorized access to your account.
We reserve the right to suspend or terminate accounts that violate our terms.
You represent and warrant that you are at least 18 years of age. The Company does not permit those under 18 to use the Service. By accessing or using the Service, you confirm that you have the legal capacity to enter into a binding contract.
3. License to Use the Service
Subject to your compliance with these Terms and payment of any applicable subscription fees, Metal Pilot grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access the Service and to use its content for your personal use and internal research purposes.
This license does not permit redistribution, republication, resale, public display, or systematic extraction of any content from the Service.
You may quote brief excerpts (for example, a single figure, rating, or short data point) in your own materials, provided you attribute the excerpt to Metal Pilot.
All rights not expressly granted in these Terms are reserved by Metal Pilot and its licensors.
This license terminates automatically upon termination of your account or your breach of these Terms.
4. Acceptable Use
You agree not to use our service for any illegal purposes or in violation of any applicable laws.
Prohibited activities include but are not limited to:
Distributing malware.
Conducting phishing operations.
Sending spam.
Engaging in any activity that imposes an unreasonable load on our infrastructure.
Accessing, copying, or extracting any part of the Service by any means other than our publicly supported interfaces (e.g., 'scraping', automated harvesting of company data, project data, ratings, or other content).
Redistributing, republishing, reselling, or otherwise commercially exploiting data, ratings, or analytics obtained through the Service without our prior written consent.
Reverse engineering, decompiling, or attempting to derive the source code or underlying methodology of the Service.
Using any content from the Service to train, fine-tune, evaluate, ground, or otherwise develop machine-learning or artificial-intelligence models, whether directly or through a third party.
Storing or submitting unlawful, infringing, defamatory, or otherwise objectionable content in any user input (including watchlist names, custom lists, notes, and feedback submissions).
Metal Pilot expressly reserves all rights in the content of the Service for the purposes of text and data mining within the meaning of Article 4(3) of Directive (EU) 2019/790 (DSM Directive). Text and data mining of the Service or its content is not permitted without our prior written consent.
To ensure the quality of service for all users, we reserve the right to limit or throttle your access to the Service if your usage significantly exceeds the average usage of other users (including but not limited to excessive bandwidth consumption, high request rates, or large-volume data exports). We may also disable high-bandwidth accounts or block specific automated patterns that place a disproportionate burden on our infrastructure.
5. Nature of the Service
Metal Pilot is an informational platform that aggregates and displays publicly available data on mining, oil & gas, and related commodities companies and projects, including company profiles, project metadata, reserves and resources, production figures, ratings, and other analytics. You acknowledge that:
The Service is an information aggregation and analytics tool — it does not provide investment, financial, tax, or legal advice.
Data is sourced from public filings, annual reports, and other third-party sources, and may be processed, classified, or summarised using automated systems and artificial intelligence.
Ratings, classifications, keyword tags, strategic-project flags, and other derived metrics reflect Metal Pilot's internal methodology and are subjective in nature.
Your use of the Service is also subject to our Disclaimer, which is incorporated by reference into these Terms.
6. Intellectual Property
All content, features, and functionality of our service — including the database structure, ratings methodology, classifications, derived metrics, user interface, and source code — are owned by Metal Pilot or its licensors. You may not copy, modify, distribute, or create derivative works from any portion of our service without explicit written permission.
You retain ownership of any custom lists, watchlists, notes, or similar inputs you create within your account. By creating such content within the Service, you grant Metal Pilot a worldwide, non-exclusive, royalty-free license to host, store, and display this content solely for the purpose of providing the Service to you.
Underlying public-domain data (such as figures originally published in company annual reports) is not owned by Metal Pilot, but the selection, arrangement, normalization, classification, and rating of that data within the Service is our proprietary work product, protected among others by the sui generis database right under Directive 96/9/EC.
7. Third-Party Trademarks and Company References
Company names, ticker symbols, logos, project names, and other third-party trademarks displayed on the Service are the property of their respective owners. Metal Pilot is not affiliated with, endorsed by, or sponsored by these trademark owners or the companies profiled on the Service. The display of such names and marks is solely for the purpose of identification, factual reference, and editorial commentary.
8. Copyright Complaints (DMCA)
If you believe that content available on the Service infringes your copyright, please send a notice to contact@metalpilot.com containing: (i) identification of the copyrighted work claimed to be infringed; (ii) identification of the material claimed to be infringing and its location on the Service; (iii) your contact information; (iv) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; (v) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf; and (vi) your physical or electronic signature.
We will review and respond to compliant notices, and remove or disable access to material that we determine in good faith to be infringing.
If your material was removed as a result of a notice and you believe the removal was a mistake or misidentification, you may submit a counter-notice with the corresponding statutory information.
We may terminate the accounts of repeat infringers.
9. Termination
We may terminate or suspend your account and access to our service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.
We reserve the right to delete free accounts that have been inactive for 12 months, with prior notice via email.
Upon termination, we will deactivate your account and schedule your personal data for deletion in accordance with our Privacy Policy. You may export your watchlists and account data prior to termination; we may retain limited information as required by law.
10. Privacy Policy
Your use of our service is also governed by our Privacy Policy, which is incorporated by reference into these Terms and Conditions.
11. Disclaimer
Your use of our service is also subject to our Disclaimer, which contains important information about the non-advisory nature of the Service, information accuracy, AI-powered features, third-party data, and limitations of liability. The Disclaimer is incorporated by reference into these Terms and Conditions.
12. Subscription, Automatic Renewal & Cancellation
When you create an account you are placed on our free plan, which is available indefinitely with no time limit. Creating an account and using the free plan does not require a payment card, and the free plan will never automatically convert into a paid subscription. You may choose to upgrade to a paid Premium plan at any time, and you will only be charged if you actively choose to do so.
Paid subscriptions are currently offered on an annual basis and renew automatically at the end of each billing period until cancelled. We may introduce additional billing periods (such as a monthly plan) in the future; where offered, the billing period applicable to your subscription is the one selected at purchase.
The renewal charge is made at the start of each new billing period to the payment method on file, at the then-current price of your plan.
You will be informed of the subscription price, billing frequency, and renewal terms before you are first charged, and you must affirmatively consent to them at checkout.
You may cancel your subscription at any time online via your account settings — cancellation is at least as easy as signing up and requires no contact with support. The cancellation will take effect at the end of the current billing period, and you will continue to have access to the Service until then.
If a renewal payment fails, we may retry the charge; continued failure may lead to suspension or downgrade of your account.
Initiating a payment chargeback while continuing to use the Service may lead to suspension of your account pending resolution.
Prices displayed on our plan page are inclusive of any applicable VAT. For customers outside VAT jurisdictions, other applicable taxes (such as GST or sales tax) may be added at checkout based on your billing location.
13. Pricing and Plan Modifications
We may change subscription prices. If we do, we will notify you by email at least 30 days before the change takes effect.
A price change applies from your next billing period that begins after the notice period. You may cancel your subscription before that date; in that case the new price will never apply to you.
Continuing your subscription after the effective date of a price change constitutes acceptance of the new price.
For free plans, we may modify plan limits and features (including, but not restricted to, the number of watchlists, access to premium content such as the projects screener, and export limits) at any time, with or without prior notice.
For paid plans, we may make improvements and non-material adjustments at any time. If we materially reduce the features or limits of your paid plan during a period you have already paid for, we will notify you by email and you may cancel with effect at the end of the current billing period.
14. Service Modifications
We reserve the right to modify or discontinue, temporarily or permanently, the service with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the service.
We do not offer a Service Level Agreement (SLA) and do not guarantee any specific uptime. The Service may be subject to scheduled or unscheduled maintenance windows, during which it may be unavailable.
We may add, modify, retire, or recalculate ratings, classifications, derived metrics, and methodology at any time without notice. Historical values shown in the Service may change as our methodology evolves or as new disclosures are imported.
15. Warranty Disclaimer
The Service is provided on an 'as is' and 'as available' basis. Metal Pilot makes no representations or warranties of any kind, express or implied, regarding the operation of the Service, or the information, content, materials, ratings, or products included on this site. To the full extent permissible by applicable law, Metal Pilot disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement.
Some jurisdictions do not allow the exclusion of certain warranties or statutory guarantees. Nothing in these Terms excludes, restricts, or modifies any consumer right or statutory guarantee that cannot be excluded under applicable law, including the consumer-protection laws of your state, province, or country of residence and the Australian Consumer Law. If you are a consumer in the EU/EEA, you benefit from statutory remedies for lack of conformity of digital services (including bringing the service into conformity, a proportionate price reduction, or termination), and nothing in these Terms limits those rights.
16. Limitation of Liability
To the maximum extent permitted by law, Metal Pilot shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or data, use, goodwill, investment losses, trading losses, or other intangible losses, resulting from:
Your access to or use of or inability to access or use the Service;
Any investment, trading, or financial decision made in reliance on information, ratings, classifications, or analytics provided through the Service;
Any errors, inaccuracies, omissions, or delays in data, including data originally sourced from third parties or generated or summarised by automated or AI-based systems;
Any conduct or content of any third party on the Service;
Unauthorized access, use or alteration of your transmissions or content.
In no event shall Metal Pilot's aggregate liability exceed the amount you paid the service in the past six months or 100 USD, whichever is greater.
Nothing in these Terms excludes or limits Metal Pilot's liability for willful misconduct, gross negligence, fraud, or any liability or statutory right that cannot be excluded or limited under applicable law.
The liability cap above applies to business users; if you are a consumer, it applies only to the extent permitted by the mandatory consumer-protection laws of your place of residence.
For Australian consumers: where our liability for breach of a non-excludable consumer guarantee can be limited, it is limited, at our option, to supplying the service again or paying the cost of having the service supplied again.
17. Account Data Backups
While we perform regular backups of our systems, Metal Pilot does not guarantee that account data such as your watchlists, saved companies, or notes will be free from loss or corruption. Corrupt or invalid backup points may be caused by, without limitation, content that is corrupted prior to being backed up or that changes during the time a backup is performed.
Metal Pilot will provide support and attempt to troubleshoot any known or discovered issues that may affect the backups of your account data. You acknowledge, however, that Metal Pilot has no liability related to the integrity of such data or the failure to successfully restore it to a usable state.
You agree to maintain a complete and accurate copy of any custom watchlists, notes, or exported data in a location independent of the Service if continuity is important to you.
18. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Metal Pilot from and against any claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your unlawful use of the Service; (ii) your violation of these Terms; or (iii) your infringement of any third-party right, including intellectual-property rights.
If you use the Service as a business user, this indemnity additionally covers claims arising from your reliance on information provided through the Service in the context of investment, trading, or business decisions, and you may not settle any claim unless the settlement unconditionally releases Metal Pilot of all liability.
19. Refunds and Right of Withdrawal
If you are a consumer based in the EU/EEA, you normally have the right to withdraw from a digital contract within 14 days. However, by creating an account and subscribing to the Service, you expressly request immediate delivery of the digital service and acknowledge that you thereby lose your right of withdrawal once the service has begun. Consequently, all subscriptions are non-refundable except as provided below.
In the event of a significant technical failure of the Service that prevents you from using the core features of Metal Pilot, and which we are unable to resolve within a reasonable timeframe, you may be entitled to a partial or full refund for the affected billing period in accordance with applicable consumer protection laws. Please contact support at contact@metalpilot.com with details of the issue.
This section does not limit any non-waivable statutory rights or remedies you have as a consumer under the laws of your place of residence, including EU/EEA remedies for lack of conformity of digital services and consumer guarantees under the Australian Consumer Law.
20. Changes to Terms
We reserve the right to modify these Terms at any time.
For material changes, we will notify registered users by email at least 14 days before the changes take effect, and will post the updated Terms on our site with a revised "Last Updated" date. If you do not agree with a material change, you may terminate your account before the effective date; for paid subscriptions, termination takes effect at the end of the current billing period.
For non-material changes (such as clarifications and corrections), posting the updated Terms with a revised date is sufficient notice.
Your continued use of the Service after the effective date of a change constitutes acceptance of the modified Terms.
21. Force Majeure
Metal Pilot shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labour disputes, government actions, power or internet failures, failures of hosting or other upstream service providers, or unavailability of third-party data sources. Performance is suspended for the duration of such an event to the extent it is affected by it.
22. Assignment and Entire Agreement
You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. Metal Pilot may assign these Terms in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of its assets, with notice to you.
These Terms, together with the Privacy Policy and the Disclaimer incorporated by reference, constitute the entire agreement between you and Metal Pilot regarding the Service and supersede all prior agreements and understandings on the subject.
23. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
24. Waiver
Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.
25. Feedback
You assign all rights, title and interest in any Feedback you provide the Company (including suggestions for new companies, project additions, corrections, or feature requests). If for any reason such assignment is ineffective, you agree to grant the Company a non-exclusive, perpetual, irrevocable, royalty free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, modify and exploit such Feedback without restriction.
26. Informal Dispute Resolution
If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting Metal Pilot at contact@metalpilot.com.
If you are a consumer in the EU, you may also use out-of-court means of resolving consumer disputes. In Poland, these include proceedings before the competent Voivodeship Inspector of Trade Inspection (Inspekcja Handlowa) and assistance from municipal or district consumer ombudsmen. If we reject a complaint you have submitted, we will inform you whether we agree to participate in out-of-court dispute resolution proceedings and identify the competent ADR entity.
27. Governing Law
These Terms shall be governed and construed in accordance with the laws of the Republic of Poland, without regard to its conflict of law provisions. For business users, any dispute or claim arising from these Terms or the Service shall be subject to the personal and exclusive jurisdiction of the courts located in Poznań, Poland.
If you are a consumer, the choice of Polish law and the jurisdiction provision above do not deprive you of the protection of mandatory consumer-protection provisions of the law of your state, province, or country of habitual residence, and do not limit your right to bring or defend proceedings before the courts competent for your place of residence where applicable law gives you that right.
28. Export Control and Compliance
You represent and warrant that (i) You are not located in a country that is subject to a United States or European Union government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States or EU government list of prohibited or restricted parties.

Technical support is provided via email and is available in English only. We strive to respond to support inquiries within a reasonable timeframe but make no guarantees regarding response times.
